Hotel Owner Terms

These Hotel Owner Terms (“Terms”) govern the access to and use of the Qorezo platform by hotel owners, operators, property managers, or other authorized representatives (collectively, “Hotel”, “you”, or “your”).

By accessing or using the Qorezo platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Platform Role and Nature of Services

Qorezo provides a cloud-based technology platform that includes software tools such as a Property Management System (PMS), on-domain booking engine, channel manager, website content management system (CMS), and integrations with third-party payment gateways (collectively, the “Platform”).

Qorezo is a technology service provider only. Qorezo does not own, operate, manage, lease, franchise, or control any hotel, accommodation, or hospitality service. Qorezo does not act as a travel agent, broker, reseller, or merchant of record.

All accommodation services, guest experiences, stays, and related obligations are provided exclusively by the Hotel.

2. Eligibility and Authority

You represent and warrant that:

• You are legally authorized to operate the hotel or property listed on the Platform.
• You have full authority to enter into these Terms on behalf of the Hotel.
• All licenses, registrations, and approvals required under applicable law are valid and in force.

Qorezo reserves the right to suspend or terminate access if any representation is found to be false or misleading.

3. Account Registration and Accuracy of Information

You are responsible for maintaining accurate, complete, and up-to-date information on the Platform, including but not limited to hotel details, room descriptions, pricing, availability, policies, taxes, and contact information.

Qorezo relies entirely on the information provided by you and is not responsible for errors, omissions, or inaccuracies in such information.

4. Scope of Use

Subject to these Terms, Qorezo grants you a limited, non-exclusive, non-transferable, and revocable right to use the Platform solely for managing your hotel’s online presence, inventory, and bookings.

You shall not:

• Use the Platform for any unlawful purpose;
• Provide misleading or deceptive listings;
• Interfere with or disrupt the Platform;
• Attempt to access systems or data not authorized to you.

5. Bookings, Pricing, and Availability

You are solely responsible for:

• Setting room rates, availability, and booking conditions;
• Honoring confirmed bookings;
• Managing overbookings, cancellations, and guest communications.

Qorezo displays booking information as provided by you and may synchronize such information across supported distribution channels. Qorezo does not guarantee demand, occupancy levels, or revenue.

6. Payments, Refunds, and Chargebacks

Guest payments are processed through third-party payment gateways integrated with the Platform and are settled directly to the Hotel’s designated bank account.

Qorezo does not collect, hold, store, or settle guest funds.

All refunds, cancellations, disputes, and chargebacks are the sole responsibility of the Hotel and shall be handled in accordance with:

• The Hotel’s stated policies;
• Applicable payment gateway rules;
• Reserve Bank of India (RBI) guidelines and applicable law.

7. Taxes and Invoicing (India)

You are solely responsible for:

• GST registration and compliance;
• Determining applicable tax rates;
• Issuing tax invoices;
• Filing returns and remitting taxes.

Any invoices generated through the Platform are based on the information provided by you. Qorezo does not verify tax calculations and shall not be liable for any tax errors, penalties, or non-compliance.

8. Data Ownership and Data Protection

All guest, booking, and hotel data entered into the Platform remains the property of the Hotel.

Qorezo acts as a data processor and processes such data solely to provide the Platform services, in accordance with applicable data protection laws, including the Digital Personal Data Protection Act, 2023 (DPDP Act).

You remain responsible for obtaining all required consents from guests and complying with data protection obligations applicable to you as a data controller.

9. Intellectual Property

All intellectual property rights in the Platform, including software, trademarks, and documentation, are owned exclusively by Qorezo.

You grant Qorezo a limited, non-exclusive license to use your hotel name, trademarks, logos, images, and content solely for operating and displaying your hotel on the Platform.

No ownership rights are transferred under these Terms.

10. Suspension and Termination

Qorezo may suspend or terminate your access to the Platform, with or without notice, if you:

• Breach these Terms;
• Misuse the Platform;
• Violate applicable law.

Upon termination, you may request export of your data within a reasonable period, subject to technical feasibility and legal obligations.

11. Limitation of Liability

To the maximum extent permitted by law:

1. Qorezo shall not be liable for:
   • Guest disputes;
   • Booking cancellations;
   • Revenue loss;
   • Hotel operations or services.
2. Qorezo’s total aggregate liability shall not exceed the fees paid by you to Qorezo during the twelve (12) months preceding the event giving rise to the claim.

In no event shall Qorezo be liable for indirect, incidental, special, or consequential damages.

12. Indemnity

You agree to indemnify, defend, and hold harmless Qorezo, its officers, directors, and employees from any claims, losses, liabilities, penalties, or expenses arising from:

• Hotel operations or guest stays;
• Refunds, cancellations, or disputes;
• Tax non-compliance;
• Violation of law or third-party rights.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of the courts located in India.

14. Amendments

Qorezo may update these Terms from time to time. Updated terms will be published on the website or notified electronically. Continued use of the Platform constitutes acceptance of the revised Terms.
